Upon acceptance by June St. George (“JSG”) of the application (the “Application”) in JSG’s sole discretion, you will be a designated non-exclusive re-seller of JSG bespoke home goods, including jars, rugs and pillows (“Goods”), as indicated in the Application. You will be able to order through JuneStGeorge.com on behalf of your clients and will be entitled to our trade discount. Payment will be due upon checkout, or in the case of a special orders, within five (5) days of the date of the applicable invoice.

You will be provided a custom code to use for a trade discount (“Code”) on JuneStGeorge.com or your discount will be reflected in the invoice for special orders. The Code cannot be combined with any other offers or codes. You must provide the code upon checkout. JSG is unable to provide a refund for failure to provide the Code. You may not share this code for any reason. If you share the code for any reason, your Code will be terminated and you will no longer be considered and authorized re-seller. Under no circumstances may the Goods be discounted for your clients, unless approved by JSG in writing. You must charge your customers no less than the price listed on JuneStGeorge.com or provided by JSG in writing for special orders.

After checkout, JSG will provide you or your client with a monogram proof and rendering. The monogram proof and rendering must be approved by your client before production begins. JSG will not begin production until your client has approved the final monogram proof and rendering. Changes cannot be made after the final monogram proof and rendering have been approved. Returns, refunds and exchanges are not permitted for any reason.

You will use your best efforts to enhance the good name of JSG and the market perception of the Goods and will not make any statements or encourage others to make any statements that defame, disparage or in any way criticize JSG.

You will not sell or offer for sale the Goods through any e-commerce channels, including social media without the prior written consent of JSG.

You will not remove any JSG labeling on the products or add any labeling to the Goods. You will not make any representations or warranties to your client regarding the performance, specifications or quality of the Goods or the speed of manufacturing or delivery other than those expressly authorized and approved by JSG in writing.

You will not spam or otherwise create bulk distributions regarding JSG Goods.

You will not violate the intellectual property of JSG. Any information JSG discloses to you should be considered confidential information and should not be used other than as necessary to exercise your rights or perform your obligations as an authorized re-seller.

These Trade Discount Application Terms and Conditions (“Application Terms”) are subject to and governed by (i) the Resale Partner Terms and Conditions (“Resale Partner Terms”) and (ii) the Terms of Sale (together with the Resale Partner Terms, the “Master Terms”), each available on junestgeorge.com/term. June St. George reserves the right to update the Master Terms from time to time without notice and continued use of the trade discount shall be deemed to constitute acceptance of such updated terms. JSG reserves the right to change or discontinue the trade discount program at any time in its sole discretion and without notice.
